Gentlemen,—Some months ago it was de. termined by ballot which of two Directors simultaneously elected should retire, arid the ballot having been determined in my favour, I considered the matter so far settled that in my circular letter I felt iustifled in stating that'*l am not now standing for re-election as a Director." But the parties to the ballot now assert tha* the manner of so determining which Director should retire and wbioh remain was not warranted by the Articles of Association, and that it 'will be necessary for me to be re-elected in order to retain my seat on the Directory. I deem it, therefore, advisable to draw attention to the fact, in explanation of the delay which has occurred in my appeal to yourselves, and to state that I intend to offer myself for re-election as a Director at the next Ordinary General Meeting of the Shareholders.
