The business to be transacted at such meeting is as follows :— 1. To consider the advisability of, and if approved, to pass a si ecial resolution requiring the Company to be wound-up voluntarily. 2. To appoint Liquidators for the purpose of Winding up the affairs of the Company, and distributing the property. 3. To authorise such Liquidators to sell the property and debts i vie to the Company (o the ' Tairtiii Prospectors Gold 'Mining Company (Limited)," on the following terms, or on such other terms as the meeting may determine, viz. :— A. All the debts and liabilities of the Company to be paid by the Tairua Prospectors Gold Mlai^g Company (Limited). B. The Taima Piospectors Gold Mining Company (Limited), to allot to the Liquidator*, or as they may direct, as many paid up shaieß, and as many contributing share 3in that Company as there are sharesiallotted in theJTairua Gold Mining Company (Limited), such contributing shares to be subject in allottment to a payment of Sixpence per share. 4. To authorise such Liquidators to distribute such shares amorg the Shareholders of the Company in manner following, or in such other manner as the mooting may determine, viz. :— One paid up share and one contributing shhre in the Tuirua Prospectors Gold Mining Company (Limited) for every one share held in the Company, such paid up shares not to hs given to bbareholders until all monies due to the Company have been paid by the resptc.ive Shareholders.
