Hamilton. 12th November, 1925. •MESSRS ENGLISH & LUXFORD, Public Accountants, Hamilton. ■Dear Sirs, — In justice to you I desire to place on record the actual facts connected with your withdrawal of a report you made on the 18th .August, 19(24, in the course of your professional capacity as Auditors to The New Zealand Co-operative iDairy Company, Limited. At a meeting held at Matangi, convened by Mr Samuel Lye, Mr Lye delivered h speech which contained a number of inaccuracies, and I felt bound in good faith to protect the Company and yourselves from misconceptions which might otherwise have arisen from what was said by Mr Lye regarding the relationship .between yourselves as Auditors and the Board. In making the statement I did make there and then, I intended to make it clear, and believe I did make it dear, that by explanations offered to you as Auditors by the Sub-JCommittee of the ißoard, and on a promise by the Board to make a supplementary report to the shareholders, you realised that certain observations in your report were no longer necessary. It was - therefore agreed between yourselves as such Auditors and the Committee of the .Board that your report should be withdrawn and a substituted report furnished. I never intended to suggest, and believe that nothing I said at that meeting did suggest, that the arrangement I have just stated was in any way dependent upon your being reappointed Auditors of the Company. You expressly and repeatedly guarded yourselves against any such inference by the clearest intimation that your substituting an amended report for the one already sent in was not to be treated as having anything whatever to do with your re-appointment. I emphatically put on record that throughout the discussion which led to this arrangement you were not influenced in any way in connection with such arrangement by even an expectation of your re-appointment.
