deposited for public inspection at the office of the County Clerk situated in the County Chambers Clyde street Invercargill The plans and cross sections showing the nature of the works proposed to be undertaken in the Borough of East Invercargill together with a, description thereof are deposited for public inspection at the office of the Town Clerk for the said Borough of East Invercargill situated in Elies Road East Invercargill The plans and cross sections showing the nature of the works proposed to be undertaken in the Borough of North Invercargill together with a description thereof are deposited for public inspection at the office of the Town Clerk for the said Borough of North Invercargill situated in the Town Hall The plans and cross sections showing the nature of the works proposed to be undertaken in the Borough of South Invercargill together with a description thereof are deposited for public inspection at the office of the Town Clerk for the said Borough of South Invercargill in the Town Hall Elies Road DELEGATION It is intended that the authority conferred by the order or orders authorising the construction of the above-mentioned tramlines shall be delegated by the respective Corporate Bodies hereinbefore mentioned and hereinafter called The Local Authorities ” to the Honourable Sir Joseph George Ward and Walter Henderson of Invercargill Merchants (hereinafter called t!>e delegatees) and the following is a general description of the terms and conditions subject to which such delegation is to be made : 1. The term of delegation is for the period expiring on 23rd February 1910 and for a further period of fourteen years thereafter with the option or right to the delegatees of perpetual renewal thereafter for successive periods of fourteen years subject to the option or right of the Mayor Councillors and Burgesses of the Borough of Invercargill at the end of each period of fourteen years to purchase the undertaking at fair market value 2. The delegatees to substantially commence the construction of the undertaking forthwith on the granting of the Order or Orders in Council and to completely finish the same so far as relates to such construction in the Borough of Invercargill within eighteen months from the 18th March 1906 and so far as relates to the other Boroughs and the said County within two years from 18th day of March 1906 3. The delegatees are to keep the space between the rails and an additional space of eighteen inches on each side thereof in good condition and repair 4. The power to be used on the said tramway lines shall not be animal power but at the option of the delegatees may be steam electricity gas oil petrol or other like power 5. The delegatees are to pay all the costs of and incidental to all applications deeds orders contracts and other instruments necessary or expedient for effectuating the agreement between the respective Local Bodies and the delegatees 6. The delegatees are to pay to the Local Authorities on the last day of each year a sum equal to ten .pounds per centum of the net profits of the undertaking such net profits to be ascertained and arrived at in the manner provided in the said agreement and in the event of the delegatees failing to pay such money or to observe fulfil perform and keep all the covenants and conditions the Local Bodies may by notice in writing addressed to the delegatees determine all the tramway powers and provisions 7. The tramway lines and undertaking shall be used both for passengers and goods traffic and the maximum rate of charges shall be fixed by the Orders 8. The provisions of “ The Tramways Act 1894 ” and the schedule thereof are to apply to the undertaking except in so far as the same are modified extended or altered by or are inconsistent with anything contained in the said agreement of delegation 9. The instrument of delegation shall contain such other covenants agreements and provisions as are contained implied or referred to in the said agreement 10. All doubts differences or disputes which may arise between the parties touching any matter or thing having relation to the premises are to be referred to the arbitration of three indifferent persons one to be chosen by each of the parties and the third to be named .by the two persons sp chosen within one week after their appointment Dated this 2nd day of May, 1907T.
