BANKING GROUP (NEW ZEALAND) BILL AUSTRALIA and New Zealand Banking Group Limited hereby gives notice that it intends to apply for leave to bring in the abovementioned : Private Bill during the present session of Parliament. The objects of the bill are to enable Australia and New Zealand Banking Group Limited (hereafter called "the existing Bank”) to form a company limited by shares under the Companies Act, 1955, having among its objects the carrying on in New Zealand of the business of banking and to effect the transfer to that company of the undertaking in New Zealand of the existing Bank. The company so formed shall be called A.N.Z. Banking Group (New Zealand) : Limited (hereafter called "the new Bank”).

The principal purpose foi which the new Bank is to bt incorporated will be tc acquire the whole of the assets and undertaking of the existing Bank relating to its business in New Zealand, and to carry on in New Zealand and elsewhere the business ol banking in all its branch et and departments. As the New Zealand Companies Act, 1955, in Section 458, provides that no company having for Its object the carrying on in New Zealand of the business of banking shall be registered under that act, the formation of the proposed new banking company can be made possible only by special legislation, •nd legislation is also the only means by which the transfer of the undertaking of the existing Bank to the new Bank c»n be effected efficiently and Instantaneously, and without interference with the conduct and continuity of the business of banking. The Bill Is divided Into two parts. The first part contains the provisions enabling the existing Bank to form and incorporate the new Bank under the Companies Act, 1955. The second part is designed to transfer the undertaking of the existing Bank relating to its New Zealand business to the new Bank, followed by provisions for the transfer of the New Zealand assets of certain Other subsidiaries. On the appointed day all the assets liabilities and obUgations of Australia and New. Zealand Banking Group Lira! ted will be assets liabilities and obligations of the new Bank. Customers of the existing Bank will have the same relationship with the new Bank as they had with the existing Bank. The promoter of the bill is Australia and New Zealand Banking Group Limited.
