THE NORTHERN CO-OPERATIVE TERMINATING BUILDING SOCIETY NOTICE is HEREBY GIVEN that a SPECIAL GENERAL MEETING will be held at the Society’s Head Office, Corner Queen street and Wellesley street, Auckland, on Monday, 25th January, 1965, at 2.30 p.m. for the purpose of considering the following proposed alterations to the Rules;— RULE 32 That the following paragraph be added to this rule—- “ And further in those cases where two or more groups have been amalgamated to form one group in accordance with the authority of Rule 101 (f) the formation date of the amalgamated group shall be deemed to be the formation date of the earliest group included in the groups so amalgamated. The net realised profits per share payable to members withdrawing in accordance with this rule from any amalgamated group from the first day of the first financial year following the amalgamation shall be based on the average profits of the groups so amalgamated.” RULE 39. That this rule be replaced and the following substituted as Rule 39 “The first appropriation in each group shall be by ballot.” RULE 101, Sub Section (f). That this sub-section be repealed and the following substituted— “lt may from time to time by resolution arrange the amalgamation of any two or more groups and direct that such amalgamation shall be effective from a specified date.” The purpose of these proposed rule alterations Is to provide for the formation of larger groups and also to enable appropriations both by ballot and by tender to be held every month, not only in new groups to be formed but also in all existing groups of 10,000 shares formed during the past ten years. Where groups are to be amalgamated the rights of members in the present groups will be fully protected. There will be no amalgamation of smaller groups now more than ten years old. Members of such groups, because of their longer membership, already enjoy better opportunities for gain through the regular ballots than members in the younger groups. Furthermore, as in the past, their opportunities for such gain in the ballots will continue to increase.
