If N consequence of the large inorease in the _L .business of tbe Company, and with a view __ further extending: their operations, tbe nPireotors have reeolved to provide additional capital by the issue of further Shares. The Directors are influenced in this determination by (amongst others) the following reasons, vis. :— I. The necessity of urge additions to the buildings on tbe premises of the Company, to keep.pace with the business, whioh has increased beyond their expectations. 11. The provision of sufficient capital to adequately carry on the Malting business, about to be taken over, by the Company, which has for many years been so profitably worked by Mr Thomas Edwards HI. To give increased accommodation to trade connections, hotel keepers, and others, with a view to providing ah outlet for the produots of the Company. The high.charaoter which the products of tbe Company have acquired in the trade and elsewhere is well known and appreciated, and ia shown more particularly by the large increase of the free trade in competition with breweries of old standing. The Directors may state tbat they have secured the services of their present brewer for a term of yearsThe directors would draw tha attention of those interested in the trade to the fafut that in connection with the introduction of fresh capital the business maybe made far more permanently profitable by including in the proprietary a number of hotelkeepers and the general publio, all of whom will have an interest in promoting directly and indirectly the prosperity of the concern. The property of the Company consists of the Brewery Premises (freehold), comprising Tipwards of three quarters of an acre (situate on the South Town Belt at the corner of Windmill road, with a long frontage on the Belt and adjoining Railway reserve) on wbich are erected Brewery, Two Cellars, Malt House, Cffices, Dwelling-house, Bottling Stores, Stables, Ac, together with the Plant (which is quite new. in perfect order, and capable of producing 4000 bhds per annum), Stock-in-Trade, and the goodwill and trade name of the Company in all valned at Je 12,000, besides beak debts, mortgages on hotel properties, Ac, Ac, As some guide to the amount of business transacted by the Company it may be stated that there are now en the books the names of 1100 customers at leiat, many of whom draw no other ale or porter. The trade of the Company during tbe last twelve months has doubled itself, being now equal to 1600 hbds. per annum, and it is confidently anticipated that with the aid of further capital the business will continue to largely increase. and inasmuoh as the working expenses would be about the same with double tbe present trade, the desirability of additional capital can be easily seen. Tbe profits from the malting business will also be considerable. Tbe malthouse is capable of turning out 12.C00 bushels a year. The present capital of the Company stands as follows »— 60 shares fully paid up ... £600 510 shares paid up to £7 each 3780 600 £4380 In order to give increased stability to the Company, tbe holders of shares partly paid-up | have arranged to surrender their 540 shares, j standing at £7 paid-up, in exchange for 1260 shares paid-up to £3 eaoh, which gives them only an equivalent amount of paid-up capital with the additional advantage to the Company of a largely increased liability cf the present shareholders for uncalled capital, thus showing their thorough confidence in the profitable nature of the business. The number of shares now being issued is 3380, which will stand on an equal footing with the present shares. The amounts payable on the new issue will be as follows—via., £\ on application, £1 on allotment, £1 at three months from date of allotment. ! Beyond this amount of £3 per share no further call is at present anticipated, as tbe capital thus raised will place tha Company in a position to avail itself of additional and steady business as eligible opportunities arise.
