In consideration of sucn sale, this Company shall receive 16.666 shares ln The OM Hanrakl Go:d Mines, Limited, paid Up to an amount: equivalent to the allotted shares In TbeOld Haurakl Gold Mines, Limited, at the date of the transfer hereinafter mentlo_cd. In the event of the foregoing Resolution being passed, the following further lleso'ution will be proposed, viz.:— 2. That The Golden Pah Gold Mining Company, Limited, bo wound up voluntarily under "The Companies Act, 1008," and that John William Nichol, of Auckland, aforesaid. Company Secretary, be hereby appointed Liquidator for the purposes of such winding up, with power to transfer the license, mining property, chattels, effects, and busincs. of this Company (other than Its cash, book debts and uncalled capital) to The Old Haurakl Gold Mines, Ltd., and to receive in consideration for such sale 16,666 shares in The Haurakl Gold Mines, Limited, paid up to nn amount equivalent to the allotted shares in tho said The Old Hauraki Gold Mines. Limited, at the date of the transfer by such Liquidator as aforesaid, and to distribute the same among the members of this Company pro rata, according to the number of shares held by them respectively In this Company.
