PROVINCIAL INVESTMENT AND LOAN ASSOCIATION.

The annual meeting of the members of this association was held last evening, in the old Town Hull, at 7.30. Mr G. Gould, the chairman, presided, and stated the objects of the meeting He congratulated the members of the association upon the satisfactory position in which it stood, He had no doubt but that the associati n would work itself out within the term first contemplated, lie thought the thanks of the meeting were due to their late chairman, MrC.W.Turner,who had most diligently watched over their interests, He called upon, Mr J. Lewis, the manager, to read the report for the past year : " Fifth annual report of the Provincial Investment and Loan Association, presented to the shareholders on Tuesday, the 28th January, 1868.—Your directors have pleasure in submitting to you the fifth annual report, accompanied with a statement of accounts for the year ended 31st December, 1867. This will afford you satisfactory evidence of the progress of the association during the fifth year of its existence. The total receipts for the year amount to thirty thousand six hundred and nine pounds two shillings and threepence, viz: ordinary revenue, seventeen thousand eight hundred and sixty-four pounds three shillings and threepence; amount received on deposit, two thousand Ave hundred and thirty-five pounds twelve shillings and twopence; and the sum of ten thousand nine hundred and fifty-six pounds four shillings and eightpence, advanced by your bankers. The arrears on the last day of the year were as follows:—i ine thousand two hundred and six pounds eleven shillings and sixpence, viz.: on anticipated shares, nine hundred and fifty pounds j on unanticipated shares, two hundred and fifty-six pounds eleven shillings and sixpence. These amounts would doubtless have been considerably less if the last Thursday in December (i. e., the monthly pay-day) had not been a general holiday. Notwithstanding the remarkable commercial depression manifested in the province generally during the year, the directors are happy to report that only five of the association's securities have fallen into their hands, and loss is only anticipated on one of them, the amount of which will certainly not exceed fifty pounds. The directors, in their last annual report informed the shareholders that the General Assembly had passed an amended act for the regulation of building societies, which would render necessary a revision of the association's rules. The alterations and additions considered necessary were unanimously adopted at a general meeting of the shareholders, held in accordance with rule 15, on Tue.'day, the 3rd day of December last, and only await the revision of an officer to be appointed by the General Government, to come it) to force. Two vacancies have occurred among the trustees during the year by the retirement of the honourable John Hall and Mr Eobert Wilkin. Mr R. J. S. Harman and Mr Cyrus Davie have been appointed in their stead. In terms of clause 2, rule 1, it will be your duty to elect five directors in the place of Messrs George Gould (chairman), W. H. Lane and C. R. Blakiston. who retire by rotation, and Mr J. M. Heywood and Mr E. C. J. Stevens, who have been provisionally appointed in place of Messrs C. W. Turner and T. M. Hassal, resigned. The whole of these gentlemen are eligible, and offer themselves for re-election.—George Gould, Chairman. Cbristchurch, 20th January, 1868." The financial statement was likewise read. Dr Deamer moved the adoption of the report.

In answer to Mr Oswald, the Manager stated that the mortgages on eighteen shares had been paid off, eighteen shares had been withdrawn and ten forfeited. Mr J. Anderson seconded the adoption of the report, which was carried unanimously. The Chairman stated that the next business before, the meeting was the election of five directors in the place of Messrs Gould, W. H. Lane, C. R. Blakiston, Heywood and Stevens, who were, however, eligible for re-election. It was resolved that Mr A. J. Kaphael should be allowed to vot« as trustee of the estate of Charles Prince. The following were nominated:—Messrs G. Gould, W. H. Lane, C. R. Blakiston, Stevens, and J. Anderson. A ballot, was taken with the following result:-Gould 51, Stevens 51, Lane 47, Blakiston 41, fleywood 38, Auderson 27. The first five gentlemen were declared duly elected, Whilst the ballot was being taken, some discussion took place with reference to a suggestion made by Mr Oswald with regard to an alteration in the rul< s with a view of establishing a compulsory ballot, which he contended would have the effect of terminating the association at least some months sooner than the time originally contemplated. Ultimately he gave a notice of motion to that effect to be brought forward at the next meeting. The meeting shortly afterwards broke up,
